  1. NO PURCHASE NECESSARY TO SPIN. Between October 31, 2012 and January 31, 2013 (“Promotion Period”), Players may Spin to Save (“Spin”) on a selection of Groupon deals by linking into the Spin to Save area (“Area”) through Facebook, Groupon’s website or from an eligible Groupon-generated email message, as may be made available by Groupon from time to time (“Game”). LIMIT: One (1) personal Spin per Player, per day. Players may earn additional Spins during the Promotion Period by electing to “Like” the Game on Facebook (see Section 5). As of May 31, 2012, through the last day of the Promotion Period, once a Player has exhausted all of his or her allocated Spins for the applicable Promotion Period, Players may also Spin on behalf of another person that is identified as a “Friend” in the Player’s Facebook and who would otherwise be eligible to be a Player (see Section 6). Please review this page before you participate in the Game, as important details, terms, or rules of the Game may change at any time and without notice.

  2. PLAYER ELIGIBILITY: You must be a legal resident of the 50 United States or the District of Columbia, 18 years of age or older with a valid Groupon account, valid Facebook credentials and otherwise in compliance with Groupon’s Terms of Service in order to Spin or otherwise participate in the Game (any eligible participant, a “Player”). Employees of Groupon, Inc., its subsidiaries, affiliates, partners, promotional, advertising or other agencies and the immediate families and household members of any of the same, are not eligible to Spin or to participate in the Game. All information submitted by any Player by or through the Game will become the property of Groupon. Any dispute regarding a Spin or a Player’s issuance of any Special Discount will be determined to be associated with the authorized account holder of the email address of the Player’s Groupon account at the time of entry. “Authorized account holder” means the natural person who is assigned an email address by an internet access provider, online service provider, or other organizations (e.g. business, educational institute) that is responsible for assigning email addresses for the domain associated with the submitted email address.

  3. HOW THE GAME WORKS: Each Player will be offered the opportunity to Spin to obtain a special discount which may be applied for a period of twenty-four hours from its time of issuance (“Special Discount”) toward the purchase of one (1) specially-selected Groupon deal or a single other daily deal offer as the same may be elected to be displayed by Groupon from time to time (collectively, “Game Bank Deals”). To Spin, a Player must log-in to a valid Groupon account and connect it to a Facebook account using Facebook Connect functionality provided within the Game. The Game Bank Deal(s) offered to any Player or Player’s Friend at the time a Special Discount is issued will vary in number and selection by geographic location of Player and the timing of any Special Discount’s issuance. Game Bank Deals are subject to availability and the number, variety and nature of any such Game Bank Deals made available to any Player or Player’s Friend with a valid Special Discount shall be solely and exclusively controlled by Groupon. Groupon is not obligated to re-issue any Special Discounts or bonus Spins if a technical, privacy, or any other issue causes a Special Discount message not to appear or to appear incorrectly on a Friend’s Facebook wall or a Special Discount link not to work properly (e.g., the link becomes broken or results in the appearance of an error page).

  4. SPECIAL DISCOUNT AVAILABILITY, ODDS AND CONDITIONS: For each Spin a Player may trigger a) a Special Discount for a $100 discount on Game Bank Deals (odds 1 in 100,000); b) a Special Discount for a $50 discount on a Game Bank Deal (odds 1 in 10,000); c) a Special Discount for a $10 discount on a Game Bank Deal (odds 1 in 100), or d) a Special Discount for a $5 discount on a Game Bank Deal (odds 1 in 20). Special Discounts have no retail or cash value. Special Discounts may not be used to purchase any Groupon service, good or offer other than Game Bank Deals or any other offers presented to the Player or Player’s Friend within the Game and may not be used or exchanged for Groupon Bucks or Groupon Gift Cards. All amounts of a Game Bank Deal’s purchase price not covered by a Special Discount are the responsibility of the purchaser who shall also be charged all other applicable taxes and fees. If the value of a Special Discount exceeds the price of a Game Bank Deal to which it is applied, the remainder of the Special Discount will be forfeited. Special Discounts may only be used by the Player or Player’s Friend to whom they are issued and are valid only for the twenty-four hour period immediately following issuance. Special Discounts are non-transferrable, may not be accrued, accumulated or split. Game Bank Deals may be purchased with any major credit or debit card registered in a Player’s account only; any Groupon Bucks already accrued within a Player’s account will be applied automatically to the purchase price (net of Special Discount). Any refunds or returns of a purchased Game Bank Deal will be issued in the original form of payment and for the purchase price only (net of Special Discount) – i.e., Special Discount will not be refunded. Groupon does not guarantee that the full Special Discount value will be redeemable within its validity period or that a Game Bank Deal presented will match or exceed any Special Discount’s applied value. Special Discounts not used within their twenty-four hour life-cycles are void. Unauthorized or fraudulent acquisition, use, transfer or distribution of Special Discounts is prohibited. Groupon reserves the right to cancel the Game and to terminate any Player from Groupon membership and the Game and to cancel, revoke, or otherwise prevent the issuance or use of Special Discounts upon in cases of mistake and in any suspected case of unauthorized or fraudulent acquisition, use or transfer of Special Discounts or with respect to activity within the Game generally.

  5. BONUS SPINS: A Player will receive additional Spins (“Bonus Spins”) by electing to “Like” the Game on Facebook. Each Player may receive a maximum of five (5) Bonus Spins during the Promotion Period. Bonus Spins will be associated with a Player’s Groupon account and may be used sequentially at any time during the Promotion Period in addition to a Player’s allotted daily Spin. Note that each individual Player may only have one Special Discount active at any time. If a Spin results in the issuance of a Special Discount, Spinning again prior to the expiration or redemption of the Special Discount through a purchase of a Game Bank Deal will automatically void the value of such issued Special Discount. Players are responsible for ensuring they have properly elected to “Like” the Game on Facebook. Groupon is not obligated to re-issue any Bonus Spins in the event of technical difficulty or any other malfunctions encountered while attempting to “Like” the Game on Facebook.

  6. SPIN FOR FRIENDS: A Player may Spin on behalf of one of his or her Friends after exhausting all of his or her allotted Spins for a particular Game period. If a Player is offered the opportunity to Spin for a Friend, she or he may choose a Friend on whose behalf she or he will Spin. If Player’s Spin results in the Game landing on a Special Discount, and the Friend’s privacy settings within Facebook permit it, the Friend will receive a message within Facebook on his or her Facebook Wall providing notification of the Special Discount. To redeem the Special Discount during its validity period, the Friend must register for a Groupon account or log-in to an existing Groupon account, agree to the Official Rules of the Game, and follow instructions to connect his or her Groupon account to the Facebook account on whose behalf the Special Discount was earned.

  7. TERMS & CONDITIONS: By electing to Spin, Players agree to abide by and be bound by these Official Rules and Groupon’s decisions, which are final and binding in all matters related to the Game. Terms of any Game Bank Deal’s Fine Print, Groupon’s Terms and Conditions, Privacy Statement and Facebook’s terms and conditions apply. By Spinning and accepting any Special Discount, Player agrees that no Groupon affiliate, subsidiary, distributor, retailer, or any respective shareholder, director, officer, distributor, employee, merchant or promotion/advertising agency (“Released Parties”) will have any liability whatsoever for any injuries, losses, harm, damage, cost, or expense arising from or in connection with her/his participation in the Game, receipt or use of any Special Discount, any privacy or related claims by or on behalf of any Friend for whom a Player Spins, and the acquisition and use of any Game Bank Deal. By accepting a Special Discount, the recipient acknowledges that no Released Party has made, nor is in any manner responsible or liable for, any warranty, representation or guarantee, express or implied, in fact or in law, relative to a Special Discount or a Game Bank Deal, including but not limited to, its quality or merchantability, or fitness for a particular purpose. Facebook is not affiliated with and does not endorse or participate in any way with this Game. Use of a Special Discount constitutes permission for Groupon to use the recipient’s name in connection with Groupon’s advertising and public relations relating to the Game and future versions of the same.

  8. LIMITATION OF LIABILITY: Groupon is not responsible for any technical or human error which may occur in connection with a Player’s participation in the Game, including without limitation, linking to the Area, conducting any Spin, or the issuance or use of any Special Discount with respect to any Game Bank Deal, or the availability, quality or value of any Game Bank Deal. Groupon assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, any Spin or Special Discount. Groupon is not responsible for any problems or technical malfunction of any telephone network or lines, computer on-line-systems, servers or providers, computer equipment, software, failure of email on account of technical problems or traffic congestion on the Internet or at any website or combination thereof, including injury or damage to participants or to any Player’s computer related to or resulting from participating or downloading materials in this promotion. If, for any reason, the Game is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of Groupon which corrupt or affect the administration, security, fairness, integrity or proper conduct of the Game, Groupon reserves the right at its sole discretion to cancel, terminate, modify or suspend the Game without notice or recourse to any Player.

ILLEGAL CONDUCT; INTERFERENCE WITH GAME: ANY ATTEMPT BY A PLAYER OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE GAME OR SPECIAL DISCOUNTS IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, GROUPON RESERVES THE RIGHT TO SEEK DAMAGES (INCLUDING REASONABLE ATTORNEYS’ FEES) FROM ANY SUCH SUSPECTED PLAYER TO THE FULLEST EXTENT PERMITTED BY LAW. Without limiting the foregoing, Groupon may void any Special Discount that Groupon concludes, in its sole discretion, results from any effort to damage, tamper with, or undermine the legitimate operation of the Game or Groupon’s business.
